Draft, review and advice on bipartite or tripartite commercial contracts including Clinical Trial Agreements (early and late phases), Pharmaceutical Manufacturing Agreements (including Technical Quality Agreements), Master Service Agreements, Work Orders, Change Orders, Amendments, Consultancy Agreements, Advertising and Marketing Terms, NDA’s and CDA’s, Vendor Agreements (single use or MSA’s), SaaS Agreements, IT Agreements, Tender Agreements and Corporate Guarantor Agreements, Letters of Intent, Heads of Terms and Memorandums of Understanding;• working with international pharmaceutical companies and vendors throughout Europe, America and Japan;• working alongside international legal on specific business operational requirements within the jurisdictions of the Pan Asian Area and America;• advice on data protection issues including applicable contract clauses, advice on breaches and reporting, necessity to complete DPIA’s, CCTV policy, privacy notices, along with necessary intergroup company arrangements;• advice and draft correspondence in relation to commercial disputes relating to debt and force majeure clauses along with employment matters, relating to discrimination and unfair treatment.
