ABOUT MARIUS BERENBROK

I have been doing Corporate/M&A and litigation work in Hamburg, Germany and internationally for more than 30 years. From 20••••12, I headed the Corporate Group of Freshfields in Germany and Central and Eastern Europe. I also served as the global Head of Transport of Freshfields, a member of the Global Investigations Steering Committee and the Office Managing Partner of the Hamburg Office. I have a long track record of cross-border M&A transactions, privatisations, take-overs and corporate restructurings, both in Germany and abroad. Examples of my recent work include advising• A group of shareholders of Heraeus, the family-owned German precious metals and technology company, on various corporate matters• The chairman of the board of trustees of CEWE Color, Europe\'s leading online printing supplier, on governance and corporate matters• The City of Hamburg on its 25.1% participation in Asklepios Kliniken Hamburg GmbH, the company operating the 8 major hospitals in the City of Hamburg • Kühne Holding on its initial acquisition of shares in Lufthansa AG• Hettich, the family-owned medical device company, on various acquisition and financing transactions• Freudenberg, the German family-owned technology conglomerate, on the sale of its global IT business (FIT) to the Syntax Systems Ltd, a company of the Canadian financial investor Novacap (2019);• Hamburg Süd, a wholly-owned subsidiary of Maersk Line A/S, on the sale of its global dry bulk shipping operations to The China Navigation Company, a member of the Swire Group (2019);• Maersk Line A/S on the EUR 3.7 bn. acquisition of Hamburg Süd from Dr. August Oetker KG (2018);• Hapag-Lloyd AG on (i) its USD 5.6 bn. merger with United Arab Shipping Company S.A.G (UASC).(2017); and (ii) its USD 5.2 bn. merger with the container shipping activities of Compañía Sud Americana de Vapores S.A.(CSAV), the largest South American Carrier (2014/2015)• The Hellenic Republic on the privatisation of Greece’s 12 major ports including the sale of majority participations in Piraeus Port Authority (2016) and Thessaloniki Port Authority (2018) In recent years, I have developed a special expertise for internal investigations, advising compliance officers and board members particularly in fraud and anti bribery and corruption cases. I have been a member of the Freshfields Global Investigations Steering Group since 2011. The industry sectors on which I focus include Transport and Logisitcs, Automotive, Financial Institutions, Media and Technology and Healthcare.
