Provides general corporate representation with an emphasis on corporate and securities law, including mergers and acquisitions, public and private securities offerings, secured and unsecured debt financings, recapitalizations, joint ventures, private equity and venture capital investments, regulation under the Securities and Exchange Commission (SEC), stock exchange compliance (NYSE, NYSE American, NASDAQ, FINRA), and commercial agreements (manufacturing, distribution, purchase and supply, service, licensing, development, technology transfer and other strategic arrangements). Also regularly counsels clients on a variety of matters, including compliance, compensation, intellectual property, corporate governance, defensive measures and public disclosures.Clients have included publicly-traded and privately-held technology, life science, restaurant, beverage, manufacturing, distribution, automotive, software, construction, defense and consumer products companies.
