    Report directly to the CEO and provide legal advice and support in day-to-day legal affairs for a lumber supplier with multiple California lumber yards and customers across the country while co-managing the legal department• Review, revise, draft and negotiate vendor contracts, supplier contracts, customer contracts, credit applications, loan documents, commercial and residential real property purchase agreements, options to buy, commercial retail and large scale residential construction contracts, developer – general contractor construction contracts, general contractor – subcontractor construction contracts, and residential and commercial leases with publicly traded and privately-held corporations• Provide advice and support on protection of know how, knowledge, and data, by protection of trade secrets and confidential information (e.g, non-disclosure and confidentiality agreements)• Advise and counsel on new acquisitions• Provide advice and support (sometimes in consultation with outside employment attorneys), on matters such as hiring, terminations, reductions in workforce, employment agreements and employee contracts• Serve as Legal Counsel and Secretary of Board of Directors (including responsibility for minutes of Board)• First chair civil litigation cases through trial• Coordinate, assign tasks and assume responsibility for the handling of dozens of active civil litigation cases concerning breach of contracts, mechanics’ liens, payment bonds, stop notices, business disputes, employment claims, including class actions, and fraud allegations with another in-house attorney, a paralegal and a file clerk• Monitor, manage and assist in the management of outside counsel and serve as the “clearing house” for Company legal issues making the determination of which matters can be handled internally and those which need to be turned over to outside counsel
