   I am a partner in Herrick\'s Real Estate Department and focus my practice on complex transactions relating to the acquisition and financing of real estate assets and businesses, including preferred equity, debt and convertible debt financings, joint venture agreements, stock and membership interest purchase agreements. My clients include real estate funds, public and privately held real estate operating companies and high net worth individuals.Having served as outside corporate counsel for numerous clients, including both public and privately held companies, I bring significant corporate and securities law experience to complex real estate transactions. I have advised public companies in connection with the preparation and filing of their SEC reports, Sarbanes-Oxley compliance, debt and equity financings (including public offerings and private placements), mergers and acquisitions and divestitures as well as general corporate and securities law matters. I have also represented hedge funds in the preparation and filing of Section 13 and Section 16 reports as well as advising them on corporate governance and securities law issues generally. As part of my practice, I have counseled clients on such day-to-day matters as business formation and structuring, shareholder agreements and disputes, employment agreements, credit facilities, supply and distribution agreements, licensing agreements and other general corporate matters.
