My law practice is focused on the areas of capital markets, securities law, and corporate governance. I have advised public issuers on a wide variety of offering structures, including IPOs, fully marketed underwritten offerings, confidentially marketed shelf takedowns, bought deals, PIPEs (Private Investment in Public Equity, but if you’ve made it this far, you already knew that), as well as advised issuers in facilitating secondary offerings by stockholders. I also have extensive experience advising public companies on board and committee issues, stock exchange rules and regulations, periodic reporting responsibilities, stockholder engagement and responding to stockholder proposals, and compliance with SEC rules and comments.
