My practice has several different components:Investment Vehicles: I advise clients with respect to structuring, offering and investing in a wide variety of investment vehicles, including joint ventures, private equity funds, real estate funds, opportunity funds, infrastructure funds, hedge funds, group trusts, bank collective trusts and insurance company separate accounts. ERISA Compliance Matters: I counsel plan sponsors, trustees, investment managers and other service providers with respect to ERISA compliance matters, including reporting obligations (e.g, 404(a) and 408(b)(2) of ERISA, Form 5500 and LM-10), the fiduciary and prohibited transaction rules. I also advise employee benefit plans (both defined benefit and defined contribution plans) in connection with negotiating agreements with service providers.Structured Finance: I advise clients with respect to ERISA matters in structured finance transactions including securitizations, master repurchase agreements, collateralized loan obligations and collateralized debt obligations. I also advise clients with respect to subscription backed facilities and other credit agreements.
