Contract rationalization in preparation for contract lifecycle management (CLM) system, Icertis (NA, APAC, LATAM. EMEA)- Reviewed existing templates for opportunities to reduce template count by standardizing clauses across all agreement types- Suggested and drafted industry standard clauses (including negotiated provisions), drafted alternative and backup clauses, suggested negotiation approach and parameters, revised templates to optimize flow and consistency- Prepared contract playbooks, negotiation guidelines (including alternative and backup clauses), and training materials- Representative agreements (US and OUS): Master and One-Time Supply, Master and One-Time Services, Investigator-Initiated Studies, Quality. Clinical Trials, Non-Disclosure, Material Transfer/Loan- Ad hoc outside transactional counsel support- Review and provide redline comments on high-level agreements currently under negotiation - including master supply agreement, amendments, and similar including both medical and consumer products and services- Review existing privacy and data use policies and agreement terms and rewrite to update for current law; provide contract clauses/addendums for the same- Pre- and post-M&A due diligence; coordination and collaboration with outside counsel on M&A transactions; post-merger integration
