As the Senior Specialist for North America, I provide day-to-day corporate governance for all of the US subsidiaries for General Electric Company - the GE Aerospace, Capital, and Corporate subsidiaries, and the GE Vernova business subsidiaries - Renewables, Power Portfolio and Digital. I communicate daily with individuals in the different business functions (legal, sales, tax, controllership, treasury, etc.), drafting corporate governance documents, providing entity information and assisting with the execution of both domestic and international transactions. Working with the business team, I prepare written consents and resolutions, advise as to appropriate candidates and make director and officer updates and prepare and process powers of attorney or delegations of authority. As the Secretary for over 100 legal entities, I regularly prepare Secretary’s Certificates, manage foreign qualifications, annual reports and DBAs/assumed names. In addition, I provide legal support for internal restructurings, cash extractions, contributions and dividends/distributions, entity formations, mergers, conversions, and dissolutions. I regularly work with my colleagues in LATAM, EMEA, MENAT and Asia to support governance to GE’s entities in those regions. Finally, I am the lead manager of our corporate legal entity maintenance database, updating entities globally and providing database support when restructurings occur.
