I have extensive public and private company experience, as both a General Counsel and a Partner in several Am Law 100 law firms, with over 20 years of securities law, M&A and corporate governance experience. I am currently serving on the executive team as General Counsel of a private equity-backed oilfield services company, and have facilitated the sale of two divisions. Prior to my current role, I served as a member of the senior executive team of a technology-based, publicly traded (NASDAQ: NCSM) oilfield services company, helping to manage company-wide strategic issues. As General Counsel, I helped lead this private equity-backed company through a successful initial public offering or IPO. Reported directly to the CEO. Built and managed the legal department to proactively solve problems to facilitate business goals, and advised other executives and the board of directors, addressing all legal matters for the company, including those relating to strategic transactions, securities filings, corporate governance, employee matters, domestic and international commercial agreements, compliance, intellectual property, dispute resolution and executive compensation. Over 20 years\' prior experience advising public and private companies in mergers and acquisitions, joint ventures, securities filings, board matters, complex high-risk issues and corporate governance matters.
