I am a corporate/commercial and securities lawyer with a broad practice that includes advising businesses with respect to initial public offerings (IPOs), reverse takeovers (RTOs), public and private financings, asset and share purchases, mergers & acquisitions, plans of arrangement, changes of business and corporate restructurings and reorganizations.I have advised on many corporate financing matters for private and public corporations, both domestic and international. I also assist companies with their securities reporting and compliance obligations, corporate governance and general commercial drafting requirements (including, among others, employment agreements, non-disclosure and non-compete agreements, shareholder agreements, licensing agreements, master services agreements and stock option, warrant and performance warrant agreements). I have been the founder and a director of multiple public companies and sit on the TSX Venture Exchange’s Local Advisory Committee.My clients come from a broad range of industries, including: technology, clean-tech, bio-tech, pharmaceutical, cannabis, real estate, oil & gas, mining, transportation, retail, hospitality, ambulatory services and agriculture.
