ABOUT PAUL KEGLEVIC

Paul is an experienced Independent Board member and has chaired Audit, Nom and Gov and Special/Finance committees and served on Comp committees. He is an NACD Fellow and a Certified Director and has a CERT certificate in Cyber security risk oversight.Paul has served on Boards for in multiple industries, including Technology, HealthCare, Real Estate, Oil & Gas, Retail, TelCom, Media and Utilities. He has substantial turnaround/restructuring/complex capital structure expertise and has worked with several Private Equity firms and Activist situations.He held CEO, CFO and Chief Restructuring Officer positions over the last five years. He formerly was a US leadership partner at two Big 5 accounting firms. He also has expertise in finance/accounting, risk management, technology and shared services, regulatory testimony & process improvementAs CEO of EFH, Paul led negotiation of a ~$19 B sales agreement of Oncor; led testimony/gained Delaware court approval of the Merger and Sales agreement, and leading efforts to gain regulatory approval. As Chief Restructuring Officer, he led restructuring of $30Bn+ of debt at TCEH—largest LBO in US history and Envision with $8B in debt. Paul developed strategies to balance the interest of creditors without litigation, testified in the Delaware/Texas court many times, and led the cases to consensual confirmations.Earlier, as EFH CFO, Paul refinanced $30Bn+ of debt & reduced interest expense; captured $1Bn+ of debt discount & extended maturities by 5-7 years; met/exceeded earnings guidance & significantly reduced back office costs.As Chief Risk Officer, he developed a risk identification, monitoring/reporting structure for the operating businesses.At PWC, Paul was a member of the US Leadership Team with responsibility for the Energy, Tech, Healthcare, Manufacturing, Consumer Products, Entertainment, Communications & Utilities industry programs. He helped industry leaders develop market strategies and gained market share each year; acted as top relationship/audit partner on several large clients & attended numerous client Board meetings.Previously, Paul served in various Arthur Andersen leadership positions, including a US leadership position and managing the $500M Western region practice.
