Information Security/Privacy I understand the challenges that heavily regulated businesses face when navigating the complex and ever-changing laws, regulations and industry standards that govern the collection, protection and use of information and can help clients craft solutions to these issues, including:•Aiding clients in conducting top-to-bottom internal risk assessments •Drafting corporate policies and procedures around data privacy/security, infrastructure and business continuity•Negotiating outsourced privacy and security agreements Technology Transactions I have experience representing a wide variety of clients in technology transactions, intellectual property protection and licensing, data and software licensing/usage, and other transactional matters, including: •Drafting and negotiating a variety of inbound and outbound licensing agreements, with a focus on data licensing, intellectual property licensing, end user license agreements (EULAs) and master licensing agreements (MLAs)•Drafting and negotiating software licensing and hosted solution (SaaS) models, including cloud computing agreements, managed services/private cloud arrangements, infrastructure as a service and storage as a service deals Intellectual Property I provide strategic yet practical guidance in the creation, acquisition, use and commercialization of intellectual property, including:•Counseling on copyright law, copyright registration and enforcement, fair use, and the Digital Millennium Copyright Act (DCMA)•Selection, clearance, prosecution, enforcement and portfolio management of clients’ trademarks, including international registrations and mark clearances•Software & IP joint development agreements
