   Karl is a Director in the M&A Tax practice. He is based in PwC\'s Houston office and works regularly with the New York M&A Tax practice in the Private Equity deals space. Karl specializes in US federal income tax aspects of mergers, acquisitions, restructurings, and other major domestic and international business transactions from a structuring and a tax due diligence perspective. Karl’s practice has concentrated on the identification of tax exposures associated with business acquisitions and the application and interpretation of U.S. federal income tax law as it relates to domestic and cross-border acquisitions / dispositions, tax-free restructurings, and strategies for preservation and utilization of tax attributes. He has provided tax consulting services for industries and sectors including private equity, oil and gas, renewables, nuclear technology, food, aerospace and defense, cybersecurity, technology, pharmaceuticals, fleet leasing, and manufacturing. Prior to joining PwC, Karl’s diverse career included various positions at the Australian Taxation Office, a private law practice and a publicly listed fully integrated energy company. Karl holds an LL.M. in Taxation from Georgetown University Law Center, an LL.M. in Tax and Corporate Law from the University of Sydney, and an LL.B. in Tax Law from Bond University. He was an exchange student at J.F. Oberlin University in Machida, Japan and is conversant in Japanese.
