I provide legal advice and guidance on various matters to protect Aurora Cooperative\'s interest and ensure compliance with relevant laws and regulations. In my role as Executive Vice President & General Counsel I help our organization navigate the complexities of the legal landscape our organization faces, minimize risks, and ensure compliance with laws. Key responsibilities include-1. Legal Advice. I provide legal guidance to the Board of Directors, executives, and management on a wide range of issues, including corporate governance, compliance, risk management, contracts, employment law, and intellectual property rights. Regulatory Compliance. I ensure the organization complies with applicable federal, state, and local laws and regulations, including those related to finance, taxes, employment, privacy, and business operations. Contract Management. Draft, review, and negotiate various contracts and agreements involving the organization, such as vendor contracts, employment agreements, mergers and acquisitions, and licensing agreements. Litigation Management. I oversee any litigation or legal disputes involving the company and work closely with outside counsel when necessary. Risk Management. Evaluate and mitigate potential legal risks and recommend proactive measures to minimize exposure. Policy Development. Assist in developing and implementing company policies to ensure a lawful and efficient workplace. Employee Training: Assist in the development and delivery of training sessions to educate employees on legal and compliance-related matters. Outside Counsel Management. I manage relationships with external legal counsel, determining when outside expertise is required and supervise such work to ensure timely, accurate, and cost-effective legal strategy and support.
