ABOUT JUSTIN FORLENZA
I am a debt finance partner at Kirkland & Ellis specializing in liability management transactions. My practice is informed by an unconventional background: following early experience at Weil Gotshal representing sponsors and lenders in leveraged financings, I spent nearly twelve years on the institutional investor side of the market — co-leading Covenant Review\'s loan business and later as a MD at Fitch Solutions, as part of the Covenant Review / CreditSights / LFI suite of products, advising credit funds, distressed debt investors, and CLO managers on covenant interpretation, liability management risk, and capital structure analysis. That experience gives me a granular understanding of how sophisticated market participants understand and interpret legal documentation and respond to various complex transaction structures. I took this experience to Kirkland, where I help to design capital structure solutions including uptiering, drop-down financings, and other out-of-court restructurings. Along the way, I also spent time in private practice at Cravath focusing on secured transactions and UCC collateral matters. Additionally, I have a strong interest in the application of AI tools to covenant analysis and capital structure screening at an institutional scale.Disclaimer: This material may be considered attorney advertising.
