Lead global entity management of entities and maintain the legal good standing of fund-raising vehicles and deal-level investment entities for an alternative investment manager with $246 billion assets under management (AUM). Maintain the firm’s relationship with our registered agent to ensure good standing of entities, filing formations, dissolutions and foreign qualifications, and oversee annual report filings among other responsibilities. Oversee ad hoc projects in connection with the standing up of a global Legal Operations workstream, such as the migration of entities to a new registered agent on a firm-wide basis and the implementation of new policies and procedures to ensure uniformity, efficiency, and accuracy. Review and approve all entity invoices in connection with entity management functions, using both SimpleLegal and TyMetrix. Correspond with third parties to address incoming Know Your Customer (KYC) requests. Manage the tracking and distribution Service of Process (SOP) notices to relevant business groups and counsel as part of ongoing litigation management. Assist with the review and negotiation of Non-Disclosure Agreements (NDAs) and third-party agreements. Coordinated with Project Management in Phase I of Merger & Acquisition (M&A) work to ensure all priority projects for Compliance were addressed in the 5 months leading up to the close date, which included running meetings for Broker Dealer setup, policy integration, and managing deliverable trackers. Ran Phase II of the Legal workstream M&A work, which focused on meeting with Legal and Compliance team leaders to identify approximately 10 projects necessary to fully integrate the Legal and Compliance teams of both TPG and AG and presenting those projects with timelines in bi-weekly deliverables to Firm leadership.
