Subsidiary Management: Responsible for annual compliance for 60+ domestic and international entities. Detect, resolve and prevent compliance deficiencies and regulatory risks. Coordinate and attend Board and Shareholder meetings. Prepare meeting minutes, consents, resolutions, powers of attorney, Corporate Secretary Certificates, and amendments to formation documents and intercompany agreements. Maintain Corporate Minute Books (physical and electronic). Establish and manage vendor relationships with outside counsel, corporate secretaries, resident directors, and registered agents. Respond to regulatory inquiries, KYC and UBO requests. Liaise with local shareholders and office personnel, finance, tax, treasury, HR, and global privacy teams to support a decentralized business model. • Change Management: Co-led RFP, vendor selection and system implementation process for a global entity management software solution. Worked collaboratively with leaders, team members and cross-functional service teams to identify needs. Sought out training and testing opportunities to provide thought leadership and system customization to support company specific needs. Consolidated and prepared historical governance data and documents for the parent entity and all active and inactive subsidiaries for implementation into the new system. In partnership with the Assistant Corporate Secretary, led the hands-on system integration and implementation process.• Other: Support the the shareholder election process twice per year. Implement new systems and processes for improved efficiency and collaboration. Interview and train governance personnel and contractors.
