ABOUT JOSHUA JACOBS

Joshua’s practice is primarily focused on corporate governance, business transactions, secured financings, and real estate transactions, with an especial focus on the formation, operation, and restructuring of business entities. He regularly advises clients on corporate formation, equity financing, complex commercial transactions, and general advisory matters.He also works closely with clients in negotiating, drafting, and evaluating all aspects of real estate transactions, including the leasing, purchase, sale, and financing of single- and multi-tenant office, warehouse, and industrial spaces. Joshua has substantial experience in secured transactions and routinely negotiates high-value loan documents and complex financing arrangements on behalf of both borrowers and lenders.Joshua serves as counsel to companies across a variety of industries, including commercial real estate, maritime, energy, and technology, and at all stages of development — from start-ups to established companies. He devotes particular attention to assisting early-stage companies with formation, capital structuring, and navigating initial financing rounds.In addition to his transactional practice, Joshua has particular expertise in Delaware corporate and entity law, including the Delaware General Corporation Law (DGCL), the Delaware Revised Uniform Partnership Act (DRUPA), and the Delaware Limited Liability Company Act (DLLCA). He frequently advises clients on structuring and compliance matters governed by these statutes.Joshua is admitted to practice in the State of Delaware, the Commonwealth of Pennsylvania, and the State of California.
