Support corporate governance activities, including SEC filings (e.g, proxies, 10-Ks, 10-Qs, Form 3s, Form 4s), a $52M Series F financing round, opening of international offices, management of subsidiaries, board and committee meetings, shareholder transactions, establishment of an employee stock purchase plan, etc. Supervise the creation and implementation of company-wide policies and procedures. Engage with cross-functional teams to oversee privacy and data handling practices (addressing regulatory concerns such as GDPR and HIPAA compliance), intellectual property protection efforts, employment and workplace practices, and third-party risk management. Support corporate development work, including diligence, acquisition, and integration of domestic and international targets. Oversee dispute resolution efforts, including pre-litigation and agency proceedings. Negotiate, draft, and serve as escalation for customer, vendor, and other commercial agreements. Create departmental resources (e.g, contracts playbooks, checklists, and templates). Oversee the day-to-day operations of the 22-person legal department, including direct supervision of attorney and non-attorney personnel, as well as outside counsel firms.
