I am a corporate and securities partner focusing my practice on capital markets, mergers and acquisitions, investment management, and general corporate and securities matters for publicly held and private companies, private equity sponsors and financial advisors. I have represented clients in a broad range of industry segments and have developed experience representing technology, energy, healthcare, real estate and retail and apparel companies. I regularly handle public and private offerings of both equity and debt securities, including IPOs and M&A transactions.Over the past several years, I have represented several public and private closed-end funds and business development companies in transactions in equity and debt with a combined value of several billion dollars. Included among those transactions are a number of \"firsts\" such as, the first A/B Exchange under the 1940 Act and an alternative method to incorporate financials by reference in a shelf, materially saving comfort and printing fees in a public offering.My experience in all aspects of the capital formation process includes representing issuers, underwriters, venture capital firms and placement agents in IPOs, registered directs, at-the-market and rights offerings, as well as private placements, PIPEs, debt financings, Rule 144A transactions, reverse mergers and Regulation S offerings.I also represent NYSE, AMEX and OTC-traded companies with their periodic reporting and listing qualification issues. I regularly advise boards of directors and management of public companies regarding corporate governance issues, including the Sarbanes-Oxley Act, the Dodd-Frank and the Jobs Act. I also represent companies in connection with internal and SEC investigations, stock exchange proceedings, and special committees in connection with a variety of transactional matters.I represent public and private corporations and private equity firms in M&A transactions, joint ventures, spin-offs and dispositions.
