Successfully supported internal clients on commercial, litigation, compliance, and environmental matters for Fortune 500 industrial gases company with global operations. • Commercial: provided high-level support to business leaders on a wide range of commercial and transactional matters, including drafting, revising, and negotiating all manner of commercial agreements, ranging from RFPs and purchase orders to supply agreements and asset sales, including for large CapEx projects.• Litigation: Advised on a wide range of litigation and dispute resolution matters and anticipated and mitigated potential legal issues to best assist business leaders in meeting their goals. Successfully resolved litigation and disputes in areas including: customer disputes ranging from price adjustments to force majeure; asbestos litigation; disputes with construction contractors and other vendors and suppliers.• Compliance and Ethics: Primary responsibility for day-to-day execution of the company’s ethics and compliance program, reporting directly to the global General Counsel, focusing on anti-bribery and corruption (FCPA) and conflicts of interest. Oversaw all aspects of the compliance program, including training, reporting, investigation and enforcement, and third-party management. Key initiatives and accomplishments include: development and implementation of annual Code of Conduct training and certification course, achieving 100% completion for the course by employees each year); and comprehensive revision of the company’s Code of Conduct and overhaul of all key company ethics and compliance policies and procedures.• Environmental and Safety: Served as company’s internal counsel on environmental and safety issues, supporting the Environmental, Health, and Safety group on managing remediation work and responding to regulatory inquiries and investigations. Also managed outside counsel in connection with Superfund sites where the company is actively involved.
