ABOUT JIM BRUMSEY

I am currently serving as Vice President, Assistant General Counsel and Assistant Corporate Secretary at BrandSafway (brandsafway.com), primarily responsible for M&A, corporate governance, equity matters, corporate finance and other strategic transactions. Prior to joining BrandSafway in November 2021, I was Vice President, Legal and Assistant Corporate Secretary at HD Supply, responsible for M&A, corporate governance, securities, SEC reporting, and corporate finance. I joined HD supply in 2007, shortly after the leveraged buyout of HD Supply from The Home Depot by Bain Capital, The Carlyle Group and Clayton, Dubilier & Rice. While at HD Supply, I worked with our private equity sponsors to strategically position the company for its IPO in 2013, by serving as the lead transactional attorney on numerous debt-related transactions (high-yield debt offerings and redemptions, amend and extend transactions, and term loan / ABL refinancings), acquisitions and dispositions of various companies and divisions, equity offerings, and the Company\'s IPO and several follow-on equity offerings by our equity sponsors. I assisted with drafting, reviewing and filing all periodic and current SEC reports and participated in all board of director and committee meetings. I played a key role in drafting and adopting numerous company policies both as a private equity-owned and public company. In addition, I oversaw the company\'s real estate and corporate organization functions from a legal perspective and advised the company frequently in the areas of treasury, corporate governance, executive compensation, investor relations and public relations. Prior to joining HD Supply, I was a Senior Associate on the corporate team of King & Spalding (for 7 years), focusing primarily in the areas of M&A, securities, finance, corporate governance and commercial transactions.
