ABOUT JEFFREY GLEASON

I work with all sizes of businesses in a variety of industries to help them and their owners meet many of the challenges they face each day. Having served as both inside and outside counsel, I bring a breadth of experience to help clients reach their goals in growing-or selling-their business.Specifically, my practice includes advising clients with respect to strategic acquisitions, dispositions and spin-offs; private and public securities offerings; convertible debt instruments; software and trademark licensing; employee equity plans; federal and state securities laws and regulations; state and tribal gaming regulatory regimes; private and public company corporate governance; and governmental and legislative lobbying. I particularly enjoy helping clients obtain and structure equity financing to either grow their business organically or to acquire another business to maximize synergies.Prior to joining Bond, I served as assistant general counsel for one of the world’s largest privately-held companies, a Buffalo-based global hospitality company, overseeing its gaming & entertainment division. This experience gives me the ability to view legal issues through the business owner\'s eyes and see how they interact with or are influenced by operational challenges rather than trying to solve them in a vacuum.Representative Matters:• Represented regional insurance agency in approximately $220 million sale to national insurance and wealth services firm.• Served as co-lead counsel in in approximately $60 million sale of family-owned consumer products distribution company to international diversified distribution company.• Represented casino operator in the negotiation of partnerships for the launch of two online sports betting platforms.• Advised defense contractor in series of bolt-on acquisitions of U.S. and Canadian manufacturers.• Represented second-generation food distribution company in approximately $140 million sale to national firm.• Served as regular outside counsel to family office with over $500 million in assets on investment opportunities and structuring of investment entities.• Counseled publicly-traded food and aerospace manufacturers with respect to SEC filings and reporting requirements.
