I am the Founder of JRW Esquire LTD, a commercial and corporate law boutique law practice. My practice focuses on sophisticated supply chain contracts, mergers & acquisitions (M&A), joint ventures and general corporate and business matters. I have particular experience in industrial sectors as well as in distribution and supply chain matters and transactions.I was previously an equity partner at a global AmLaw Top 50 law firm, where I spent twenty years practicing corporate and commercial law and M&A. I led M&A transactions across a spectrum of industries with deal values ranging from $5M to $2.3B, and served as the lead US transactional commercial attorney for the firm, handling all manner of domestic and international commercial agreements in that capacity.JRW ESQ provides the rare opportunity to work with a 20-year large law firm veteran and my colleague, Matt Bailey, also a 17-year large firm vet, at the top of our professional game while also enjoying the benefits clients receive working with a boutique or small firm. We deploy this expertise and experience combined with personal attention, responsiveness and cost-effective rate structures difficult to achieve in large law firms.‍Since founding JRW ESQ, I was selected by peers for inclusion in the 2023, 2024 and 2025 Editions of the Best Lawyers in America© for my work in Corporate Law and Mergers and Acquisitions Law and as a “Super Lawyer” in the 2025 Super Lawyers List.I pride myself on client service and being a practical, business-focused advisor and problem-solver who partners with clients in a counsel role. I have experience with most challenges facing business clients, and for several clients, serve as a long-time adviser and general business counsel.I have deep expertise and experience on all manner of commercial contracts at all levels, serving large publicly-traded brands and privately-held companies across multiple industries. I am well-versed in distribution in the US and internationally. I authored the International Distribution Contracts chapter for the Understanding International Commercial Contracts edition of the Inside the Minds book series (Aspatore 2015).Closer to home, I am heavily involved in any proposed or pending legislative changes to Ohio’s business entity laws. I have twice in the past decade served as the Chairman of the Ohio State Bar Association’s Corporation Law Committee, which is the primary drafting committee for all state bar association-sponsored legislation in Ohio concerning corporations, limited liability companies and other business entities.
