Partner at Cyril Amarchand Mangaldas, Mumbai and Gujarat offices.Jay has considerable experience in M&A, Joint Ventures, Private Equity, Banking & Finance, Insolvency & Corporate Restructurings, Capital Markets and General Corporate advisory.Core practice area is Corporate Finance & M&A that involves structuring, negotiating and documenting financing transactions at all business stages, including seed, angel, venture capital, bridge, convertible, debt, private placements, public offerings and strategic M & As/JVs including those involving stressed assets. Jay also advises Private Equity funds on investment transactions including those involving listed companies.Jay has been closely involved in M&A transactions, having advised purchasers as well as sellers in relation to large acquisitions of private and public listed companies by private arrangements as well as by way of a bidding process including in stress situations. His banking finance experience is also fairly extensive, including both lender and borrower representation, having advised on bilateral as well as syndicated loan transactions, ECB transactions, loan facilities to JV/WOS of Indian comapnies as well as foreign branches of Indian banks, asset financing transactions and structured financing transactions. He has also assisted lenders in creating and implementing strategies to resolve stressed asset situations.He has also been involved in corporate restructurings involving asset/business sale and demergers. Jay\'s Insolvency practice includes advising lenders, borrowers, resolution applicants and resolution professionals on corporate insolvency resolution proceedings and Restructuring / Resolution matters both under the Insolvency & Bankruptcy Code and outside.Jay has considerable experience in both equity and debt capital markets. He has advised on IPOs (Main board & SME platform), QIPs, Corporate Bond issues and on MTN programmes of Indian banks.
