As a senior counsel for the Natixis Investment Managers\' U.S. distribution business and an Assistant Secretary to the mutual funds and ETFs across the Natixis/Loomis Funds complex, my responsibilities include- Fund structuring and Product Legal Support: provide strategic legal counsel for fund initiatives, while ensuring compliance with Investment Company Act of 1940, Securities Act of 1933, and Investment Advisers Act of 1940- Drafting and reviewing regulatory filings: such as Forms N-1A, N-2, N-CSR, and exemptive relief applications- Advising on board governance: preparation and review of materials for presentation to the board on legal and compliance issues related to the funds- Legal Support to Shareholder Communications, Business Operations functions: providing counsel to ensure regulatory compliance, enhancing workflow enhancements and improving operational resilience- Lead counsel on Fund contracts: oversees, evaluates and negotiates all contracts for the funds, including vendor contracts to secure cost savings while mitigating risks; and- Incorporation of AI and technology enhancements: providing advice on technology enhancements aimed at improving regulatory accuracy, operational efficiency and governance support. The initiatives span contract management, disclosure information, board material preparation and compliance monitoring.
