About James Minorchio

I am a partner and senior member of the Taxation and Wealth Planning Department at the national law firm of Fox Rothschild LLP. I have an LL.M. in Taxation and focus my practice on transactions that involve federal tax issues.I represent individuals and corporations in a broad range of contract negotiations and general business matters. In particular, I assist clients with tax-free and taxable mergers and acquisitions, as well as corporate finance transactions. I offer a depth of experience working with limited liability companies, limited liability partnerships and nonprofits.In my corporate practice, I represent clients in the health care, food and beverage, maritime, and banking and insurance industries. I have worked closely with a number of clients for more than 30 years. I work for a large number of significant U.S. and international individuals and have represented many generations of individuals in prominent families with wealth ranging from modest to more than $1 billion. I advise on strategies for ensuring the smooth transition of business ownership from one generation to the next.In my tax practice, I counsel businesses and nonprofit organizations regarding U.S. federal and international income tax issues and guide them through complex tax audits and appeals. I have represented clients with operations in Canada, the United Kingdom, France, Portugal and Australia.I also have experience representing insurance companies, publicly traded banks and bank holding companies before federal and state regulators.
