Deal experience includes public to private transactions, private acquisitions and divestitures, and debt financing investments with deal values ranging from $10 million to $4 billion and including both domestic and international transactions. Responsibilities include performing financial due diligence and coordinating simultaneous cross functional diligence work streams (e.g, human resources, tax, IT, integration / operations) during the diligence process. Skill base includes analyzing historical and forecasted financial results, working capital trends and potential financial exposures, identifying value drivers and accounting and other critical exposures, advising on post-acquisition operational and financial requirements, analyzing and advising on purchase price closing mechanisms, and providing purchase agreement language to limit potential exposures.
