   I primarily counsel public and private companies on the U.S. federal income tax aspects of domestic and international mergers, acquisitions, corporate integrations and restructurings, divestitures, and debt restructurings. In connection with that work, I design tax-efficient structures, analyze tax planning and structuring considerations provided by other advisors, draft tax opinions, and obtain private letter rulings from the Internal Revenue Service. In addition, I have frequently advised clients on (a) U.S. federal income tax issues arising in connection with (i) forming, operating, and disposing of partnerships and joint ventures, and (ii) structuring, developing, acquiring, and disposing of tax-advantaged energy projects,(b) U.S. federal income tax accounting matters,(c) U.S. federal income tax examinations, and (d) tax issues impacting real estate investment trusts.
