I have experience representing both underwriters and issuers in debt and equity financings, including SEC-registered offerings, private placements, cross-border transactions, leveraged buyouts, consent solicitations and exchange offers across a broad range of industries. In addition, my experience also includes representing ongoing public company clients with respect to general corporate governance matters, SEC compliance and securities law issues, disclosure and reporting obligations, including preparation of SEC disclosure documents, and listed company obligations.
