My practice focuses on representing both issuers and underwriters in public and private offerings—across the full spectrum of equity and debt products, including IPOs, SPAC IPOs, follow‑on offerings, registered directs, ATMs, private placements, investment‑grade and high‑yield bonds, and debt tender offers.I also counsel public companies on ’33 Act compliance, ’34 Act reporting obligations, corporate governance, stock exchange requirements, and complex disclosure questions.
