   As a bond lawyer, I have the privilege of assisting the Board of Regents, city councils, county supervisors, utility trustees, and their staff in planning and financing equipment acquisitions and capital projects across the fine state of Iowa. This work includes planning sessions, public meetings, negotiations with contractors and contracting, working with financial advisors, diligence sessions, document review and preparing all proceedings for the sale and issuance of governmental bonding for these public projects. My work is primarily on behalf of the issuer in the preparations for the incurrence of debt. We also prepare all proceedings and approvals necessary to authorize the issuance and delivery of the obligations to the initial purchaser. I provide guidance with regard to state and federal laws, including applicable federal tax regulations, and provide a validity and tax opinion upon issuance of the debt. In the role of disclosure counsel, I assist issuers in the diligence process associated with the preparation of primary disclosure documents (offering materials), give advice regarding secondary disclosure requirements (annual filings per continuing disclosure agreements), and provide guidance on administering these duties in accordance with SEC Rule 15c2-12.I have served as counsel for the issuance of general obligation bonds, parity and subordinate utility revenue bonds, sales tax revenue bonds, and special assessment issues. My membership in the National Association of Bond Lawyers (NABL) helps keep me current on the latest federal municipal tax and securities regulations.In addition to governmental bond issues, I also assist Iowa municipalities in economic development activities, urban renewal and revitalization efforts, special assessments, and public contracting.My Ahlers & Cooney, PC Firm Biography can be found here:
