I have joined Kirkland & Ellis as a partner in the International Trade & National Security Practice in the Washington, D.C. office.I was formerly head of Skadden’s National Security practice. I represent a diverse group of clients ranging from defense companies, major telecommunications providers and media and technology companies to private equity firms and companies in the financial services, manufacturing and health care industries. I provide counsel on structuring, negotiating and documenting transactions to address regulatory issues, including approval by the Committee on Foreign Investment in the United States (CFIUS). I also assist in the development of successful regulatory and legislative strategies for a number of major M&A transactions.I have significant experience in navigating Exon/Florio reviews before CFIUS and negotiating national security agreements, and have developed innovative structures to address national security issues in some of the largest and most complex cross-border transactions. I also assist clients with industrial security (including mitigation of foreign ownership, control or influence (FOCI)), export control and government contracting issues and have negotiated landmark national security agreements for telecommunications and telecommunications equipment, defense and aerospace, and technology companies.Prior to joining Skadden, I served as the Democratic chief counsel and staff director to the U.S. Senate Committee on Commerce, Science and Transportation.I also was a senior adviser to former Sen. John F. Kerry, D-Mass, in the 2004 presidential campaign. In certain jurisdictions, this may be considered attorney advertising.
