Serve as lead global counsel for Modine’s Climate Solutions business segment, which is comprised of six business verticals: Data Centers, Indoor Air Quality (IAQ), Heating, Coolers & Power-Process (CPP), Heat Transfer Products (HTP), and Coatings. • Work closely with the General Counsel and other senior officers, as applicable, in managing various corporate, governance and securities law matters.• Serve as a business partner, providing strategic and practical legal advice to senior leaders on a range of business and commercial issues.• Provide advice on federal securities laws compliance and public company governance issues.• Draft corporate governance and other documents, policies, board and committee materials.• Prepare and provide advice in connection with the annual proxy statement and other company filings and disclosures on Forms 8-K, 10-Q, 10-K.• Attend certain Board and Board-level committee meetings, as necessary, and prepare minutes.• Assist with annual meeting of shareholders.• Provide legal advice and risk management for assigned client group(s) on a variety of issues, including contractual and transactional matters involving mergers and acquisitions, commercial agreements, financing, securities.• Collaborate with a global team of Legal and Compliance professionals, in support of the global business strategy and law department objectives.• Draft, analyze, and/or review a wide variety of contracts customarily utilized by a global diversified industrial company.• Provide training and education to client base on a variety of legal topics.

After earning her Juris Doctorate from Marquette University Law School, Attorney Nwabuzor went on to work in various sectors, developing an expertise in transactional matters. With a strong dedication to her profession, Attorney Nwabuzor presently serves as a Board Member for the Association of Corporate Counsel - Wisconsin and is an alumna of the State Bar of Wisconsin’s Leadership Development Summit. In 2020, Attorney Nwabuzor was recognized by the Milwaukee Business Journal as one of its “40 Under 40,” a recognition given to Milwaukee-area individuals under the age of 40 who are making a difference in their professions and communities and was named by the Wisconsin Law Journal as an “Up and Coming Lawyer.” She is one of Marquette University Law School’s 2023 National Alumni Award recipients and has been recognized as a “6th District Difference Maker” by the 6th Aldermanic District in Milwaukee.Attorney Nwabuzor’s dedication to her career is matched by her dedication to her community.
