   Employment & HR Counsel: Served as the primary escalation point for Zuora’s global HR teams across the full spectrum of employment matters—investigations, workforce reductions, performance management, terminations, immigration, and litigation oversight. Modernized the global HR legal framework by auditing and updating all international offer letters, employment contracts and NDAs to ensure localized compliance and intellectual property protection across all operating regions.Commercial Transactions: Led drafting and negotiation of enterprise SaaS agreements across North America and APAC for Zuora’s billing and revenue platforms, including professional services and data processing terms. Supported the global partner ecosystem through agreements with ISVs, system integrators, and technology alliance partners. Additionally, supported M&A due diligence efforts by reviewing commercial contracts and identifying legal and commercial risks.ESG & Sustainability: Represented Legal on Zuora’s ESG committee, owning privacy and governance sections of the annual ESG report, advising on climate disclosures, negotiating carbon offset agreements, and managing responses to sustainability rating agencies including CDP and EcoVadis.Litigation & Compliance: Developed corporate governance and workplace policies for Zuora and its international subsidiaries. Managed customer disputes and oversaw outside counsel in employment litigation, including compensation, trade secret, and wrongful termination matters. Served as point of contact for a Department of Labor audit, drafted witness declarations in a successful overseas injunction proceeding, and advised senior leadership on risk assessment in arbitration and ongoing litigation.
