I provide secretariat and governance services to enable the Trustee, subsidiary Boards and Committees to conduct business efficiently and effectively. My main accountabilities include: • Assisting the Group Company Secretary and Senior Assistant Company Secretary;• Acting as deputy to the Head of Secretariat, including supporting and providing induction training to new CoSec team members;• Providing a company secretarial service to the Railtrust Holdings Limited (RHL) Group boards, in conjunction with the Railpen Company Secretary; and• Oversight and supervision of team members to ensure compliance with all statutory requirements for the RHL Group i.e. oversee the statutory account filings and submission of confirmation statements;• Overall responsibility for the relationship with Diligent Boards and Diligent Entities. As an accomplished Committee Secretary, I provide the Railpen Executive Committee (ExCom) and the Trustee Audit & Risk Committee (ARC) with an efficient and timely committee administration service. This includes governance advice, document management, report preparation, compiling agendas and good quality formal minutes. I am also responsible for documenting the quarterly Property cash distributions (obtaining Director approvals and producing minutes); assisting Legal with Property disposals; maintenance of information within Diligent Entities; processing capital drawdowns for the SPVs; supporting Director/Trustee appointments; and conducting the SMCR process for NEDs of Railway Pension Investments Board and Investment Advisory Panel.
