    I am a legal and business expert in assisting companies and entrepreneurs throughout the growth cycle, including venture capital financings, private equity investment and merger and acquisition structuring, negotiating and consummation. I have expertise in a multitude of technology transactions, including intellectual property licensing transactions, negotiation and drafting of pharmaceutical and software licensing agreements, mobile application service and development agreements, and SaaS agreements. I also handle distribution, development, supply, and manufacturing agreements. From an industry expertise perspective, in addition to technology, I handle a variety of transactional matters in the sports and music industries, including both Major League Baseball (MLB), the National Football League (NFL) and the National Hockey League (NHL). On behalf of sports franchises, I have handled the acquisition of a new scoreboard, leasing of a stadium owned by an MLB franchise to the NHL for the annual NHL Winter Classic, drafting and reviewing season ticketholder policies, and structuring and negotiating an advertising tower owned by an MLB franchise. I also handle investment transactions for professional athletes and executives, as well as musicians and venue owners. I have significant experience in the restaurant and hospitality industry, and have represented several restaurants, bars, and retail food and drink establishments - some of which are the premier restaurants in the Philadelphia region, both family-owned and private equity. I have handled several restaurant opening transactions, including structuring the operating entity, capital raising, documentation and all other aspects of the restaurant opening process. I have assisted in structuring restaurant and hospitality businesses with an eye towards an exit transaction.
