About Gregory Johnson

Life is difficult, complex and constantly evolving. At MartinWren we engage in novel and challenging situations everyday. Clients, many with global interests, require a committed and disciplined team of advisors to craft creative and innovative solutions to their problems. For example, I recently served as an escrow agent in a series of million dollar plus international transactions involving a foreign manufacturer, U.S. distributor and Fortune 500 retailer. Never having served in that capacity before, I proceeded to assemble the pieces of a puzzle that resulted in an international escrow agreement, requiring an in-depth study of the tax, legal, business and cultural issues that must be addressed in such an agreement. Ultimately the experience was both fun and intellectually rewarding. I concentrate my practice in areas I find personally and professionally rewarding and challenging. I regularly advise small to medium-sized companies and their attorneys and accountants (both for profit and not-for profit) on succession, tax, structural, governance and other business planning issues, domestic and international business transactions, and dispute resolution. I recently counseled a not-for-profit organization in how to properly structure a joint venture with a for-profit company to complete a commercial real estate development project, while satisfying the complex federal income tax rules that apply to such a joint venture. A significant part of my law and accounting practice is trust and estate planning, administration and dispute resolution. I currently serve as trustee, conservator, guardian and attorney-in-fact as part of my trusts and estates practice which enhances my ability to represent my clients in this area. I routinely work with other attorneys to properly structure complex like-kind, section 1031 exchanges, involving tax-deferred exchanges of apartment buildings, shopping centers and farms, and setting up conservation easements.
