Primary responsibilty for the the negotiation of firm\'s capital markets trading documentation, working closely with our portfolio finance team regarding prime brokerage agreements (and related financing and margin documentation including \"lock-ups\", GMSLAs, arranged financing agreements), equity and structured credit derivatives (ISDA/CSA, Equity as well as Loan TRS Master Confirmations and credit derivatives confirmations and margin loan TRS); OTC clearing documentation. I also negotiate or supervise the negotiation by outside counsel, electronic trading agreements, soft-dollar agreements and various other counterparty relationship agreements. Over the years I have helped structure and continue to maintain material shared responsibility for the corporate maintenance of various offshore trading structures (identifying and resolving the overlapping multi jurisdictional tax, accounting and corporate law problems as they arise).
