Provide legal support to the Legal Department.• Review and monitor new laws and regulations; identify implications for Virtus Investment Partners and its clients and, in coordination with attorneys, advise client departments of the impact of such laws.• Assist with legal and corporate research.• Draft fund agreements for attorney review.• Draft schedules, agendas and executive summaries in preparation for board meetings.• Help prepare, obtain, assemble and disseminate board materials.• Assemble and obtain applicable reports for electronic board books.• Organize and occasionally attend board of director meetings and draft meeting minutes.• Assist in the preparation and filing of documents with the Securities and Exchange Commission such as registration statements (on Forms N-2 and N-1A).• Review semi-annual and annual reports for accuracy.• Draft shareholder meeting materials and meeting minutes.• Draft Part C\'s in connection with semi-annual and annual reports.• Draft considerations in connection with semi-annual and annual reports.• Coordinate with sub-advised clients and provide information for their fund filings.• Coordinate filings of exemptions with the National Futures Association.• Coordinate adherence to ISDA Dodd Frank Protocols.• Review and revise Key Investor Information (KIIDS) for global funds.• Coordinate annual FATCA filing.• Assist in responding to subpoenas and document production requests. • Assist in responding to Know Your Customer document requests. • Work closely with and assist other members of the legal/compliance department.• Recordkeeping, including electronic database and file management.
