   Counsel clients in various sectors, including insurance and financial services, technology, pharmaceutical and medical products, education, and non-profit, regarding a wide range of intellectual property matters, including IP portfolio management (trademark and copyright prosecution and maintenance), infringement matters, website terms of use and privacy and social media policies.Evaluate intellectual property issues related to mergers and acquisitions; perform related due diligence to address potential issues, including license transferability, IP ownership and chain of title, enforceability and third-party infringement; negotiate on behalf of buyer and seller, relevant provisions of purchase/merger agreements, including representations and warranties, phase-out licenses, re-branding, and other transitional obligations. Draft and negotiate licensing and other agreements involving intellectual property, including:(1) joint development, partnership, joint venture, and sponsorship agreements;(2) software license and maintenance agreements (on behalf of customers and vendors), for ASP/SaaS and traditional deployment models; and (3) agreements with creative services providers (e.g, for website, mobile app, and content development). In connection with the foregoing, routinely address issues related to ownership, customization and retained rights in tools, service levels, open source, government agency and educational institution funding, privacy and personally identifiable information, database rights, representations and warranties, indemnification obligations (and related disclaimers and caps on damages).
