ABOUT GENA PANTER

Gena is currently Senior Vice President, Corporate Counsel at W. P. Carey Inc.(NYSE: WPC). Gena advises on corporate transactions and issues, including capital markets, M&A, SEC filings, ESG and public communications. She also serves a corporate secretary function, preparing minutes of board and committee meetings, provides a legal review of 1934 Act filings and prepares the proxy statement(s). Gena also advises on general corporate matters including commercial contract and NDA review, regulatory compliance matters, equity plan administration, company-wide policies and internal corporate entity restructurings. Gena advised on the spin-off of a portfolio of 59 office properties into Net Lease Office Properties (NYSE: NLOP) which closed in November 2023. Following the completion of the spin-off, Gena continues to advise and externally manage NLOP as a separate, publicly traded company, in addition to WPC. Previously, Gena spent six years in biglaw as an associate at Kirkland & Ellis LLP and Morrison & Foerster LLP where her practice focused on equity and debt capital markets offerings, corporate governance and compliance and public M&A. Gena earned her J.D. from New York University School of Law in 2016 where she was Managing Editor of the Journal of Law and Liberty and a participant in the Business Law Transactions Clinic. She received her B.A. with high distinction from Duke University in 2013 where she graduated magna cum laude and was elected Phi Beta Kappa. Gena is admitted to practice in New York (2017) and Florida (2017).
