Reports directly to the Global Head of Transaction Management Group based in London.Prior to joining SCB, was structured finance loan documentation & transaction manager with solid record of achievement modeling, negotiating and/or restructuring 10+ multi-million dollar trade and project finance transactions, including mortgaged loans, leveraged operating leases, finance leases and syndicated loans, as well as managing a $5 bi portfolio of finance transactions for the Brazilian Development Bank, one of the biggest development banks in the world, until the end of 2019, when he moved to the US. MBA in Corporate and Financial Management from Fundacao Getulio Vargas (GPA 4.0) and Master in International Law from Rio de Janeiro State University (Magna Cum Laude). Intuitive leader with proven aptitude to negotiate in multiple languages and cultures and to build long-lasting business relationships. Speaks Portuguese, Spanish and English. Since his relocation in the US, he spent about 6 months in the Financial Planning business, with NYLife Securities Co, which was an amazing experience at the top mutual insurance company in the US. In August 2020, he went back to the classroom as a part-time English and Spanish teacher at CCLS (coincidently, that was his first job in Brazil when he was only 18 years old). Works as the US leader of the Transaction Management Group, being responsible for the Credit and Agency documentation management of the entire US portfolio of syndicated loan transactions by performing deal reviews and negotiating with clients on draft documentation, which may include lending agreements, security documents and any other related documents that are required within the deal structure. The Transaction Management Group delivers professional Agency functions for Syndicated Loans, working on a wide range of documentation with institutional investors, banks, insurance companies, governments and multinational corporations, including but not limited to the following segments: Fund Finance, Commercial Real Estate, Corporate Finance, Trade Finance, ECA and Project Finance.In charge of the following main processes: Perform deal and structure review, negotiate with clients on draft documentation including lending agreements, security documents and any other related documents that are required within the structure. Liaise directly with the origination teams, external and internal legal counsel and customers to discuss documentation requirements from both a documentation and business perspective to advise those parties of our drafting requirements. Manage security trustee roles by reviewing the security documentation, security releases, intercreditor arrangements and any enforcement of security as instructed by the secured parties. Resolve documentation issues with the customers and the relationship managers in order to introduce suitable solutions for all parties through documentation amendment or waivers. Facilitate transaction closings by ensuring that all conditions precedent and conditions subsequent have been satisfied within the documentation.
