   Frank represents private equity firms and public companies in M&A litigation and disputes. Those matters often involve M&A counseling, employment issues, and post-closing disputes related to working capital, earn-outs, purchase price adjustments, representations and warranties, indemnification and/or alleged fraud. Frank is routinely engaged by private equity firms to represent their portfolio companies in a wide variety of matters, including contract negotiations and disputes, significant litigation and investigations, general corporate and employment matters, and litigation avoidance strategies. Frank brings a unique and commercially minded approach to his M&A/private equity litigation practice, having led legal teams through numerous M&A transactions while serving as the EVP and General Counsel of a private-equity backed financial services company with over employees. Frank represents a diverse range of clients in other complex commercial litigation matters at the trial and appellate levels in federal, state and bankruptcy courts. He has significant experience handling litigation involving alleged theft of confidential information, breaches of fiduciary duties, commercial contract issues, business tort claims, mortgage litigation, bankruptcy litigation, and restrictive covenant and other employment claims.Frank has conducted sensitive investigations both domestically and abroad on behalf of public and private companies in a variety of industries, including financial services, healthcare, and automotive. He also has handled FCPA enforcement and compliance matters.
