About Frances Mbachu Kehinde

I am a Director in PwC’s M&A Tax practice in Chicago, IL, but based in Houston, TX. As a member of the M&A Tax team, I help our clients with various aspects of merger and acquisition transactions, such as restructuring, divestitures, and partnerships. Specifically, I manage multiple tax structuring and tax due diligence projects related to domestic and cross-border transactions for strategic and financial clients, including buy-side and sell-side tax due diligence across various industries. This includes but is not limited to tax attribute planning, stock basis analyses, earnings and profits computations, NOL utilization planning, and reviewing the tax aspects of relevant transaction documents such as sale and purchase agreements.A part of my role includes managing multiple local teams and specialty teams throughout the tax structuring and tax due diligence process and communicating with clients on various tax issues and potential tax reduction strategies and solutions.In addition to my role as a M&A Tax professional, I am a pillar leader within the Deals Council of Black and Latinx professionals within PwC. I also function as a formal and informal coach to a number of our professionals and interns.
