As Legal Manager, reporting directly to the Regional Director in EMEA, my job is to manage and advise on all legal and compliance matters concerning the business and no-business operations in Italy, ensuring that all issues are identified and promptly resolved or escalated. Coordinating a team of four lawyers, I provide legal assistance to all internal functions and work closely with CEO, CFO, business directors and all company’s management. Reviewing, negotiating and drafting a wide range of contracts and documents (sales, agency, sponsorship, distribution, real estate, NDA, services, LOI etc.). Providing legal support on all tenders, both public and private, and analyse the legal risks. Handling litigation matters and coordinating external law firms. Act as point of contact for all compliance and privacy issues, manage all contractual and extra-contractual GDPR implications, working closely with the external DPO. Supporting on IP issues and ensuring compliance with Group’s policies. Supporting HR dpt on labour issues (employees legal actions, data privacy, labour union etc.). Supporting Environment dpt. on all issues that may have legal impact on the company. Supporting marketing, direct and indirect sales channel department on all legal and business issue that may occur. Being actively involved on customers negotiations and support, both national and international, deals. Act as Internal member of 231/01 Decree Organismo di Vigilanza, establishing compliance standards based on internal policies and guidelines, drafting relevant compliance policies, ensuring and providing trainings on 231/01, ethics and integrity and code of conduct. Managing all corporate matters, drafting BoD meeting minutes, acts as corporate secretary and supporting with legal assistance to all corporate transactions and extra ordinary operations (acquisitions, jv, m&a etc.). Ensuring policy respect for all the Italian companies and working closely with all group legal managers across EMEA.
