Draft, review, and negotiate master purchase agreements, non-disclosure agreements, ordering documents, schedules, amendments, and letter agreements for commercial financing and the procurement of services Advise on Fair Lending Complaints, collaborating with Customer Advocacy and Compliance to assess fair lending issues, draft correspondence to regulators and make recommendations to business colleagues.Analyze pre-litigation claims to assess damage and liability exposure, implementing litigation strategies including early settlement resolution when necessary. Research and advise business segments on laws and regulations. Review new and modified products, sales, services, and procedures to issue spot and identify regulatory and legal risks. Assist the Office of the Corporate Secretary in supporting the Board of Directors, advise on corporate governance and policy matters, prepare and review meeting minutes. Lead and advise on subsidiary management, draft corporate organizational documents such as officer elections and resolutions, draft and file business registrations. Draft and manage the execution of resolutions, designations of authority, certificates, and other corporate documents for the holding company and subsidiaries. Assist in the preparation of SEC filings.Conduct research and prepare summaries on a variety of banking law matters.
