I am a trial lawyer focusing on the litigation of intellectual property, securities and corporate governance disputes, with particular emphasis on clients in the biotechnology, medical device, telecommunications, and high-technology industries. I also frequently represent directors and companies in lawsuits arising from mergers, tender offers and other strategic transactions, including stockholder litigation, federal securities claims and appraisal litigation.In intellectual property-related matters, I regularly assist life sciences, high-technology, and telecommunications companies in the prosecution or defense of intellectual property lawsuits with competitors. Prior cases have involved biotechnology, medical devices, small molecules, smartphones, integrated circuits, and telecommunications equipment.I regularly advise boards of directors and companies on the management or resolution of litigation arising in connection with mergers and acquisitions. These include stockholder lawsuits, suits brought by competing bidders, and stockholder appraisal actions. I have worked on multiple cases involving all forms of corporate acquisition (including mergers, tender offers and transactions structured as a sale of assets) and regularly appear in the Court of Chancery.Over the last twenty years, I have tried cases in numerous state and federal courts, in private arbitration, in the Court of Chancery, and in proceedings before the SEC. I have appeared in appellate courts around the country and two of my cases made it to the United States Supreme Court.I am the current Treasurer for the Law Foundation of Silicon Valley, one of the largest providers of pro bono legal services in Silicon Valley.
