I am a pragmatic, business-minded, outcome-focused technology transactions attorney who helps organizations that are users, providers, licensees, and licensors to efficiently and effectively negotiate and close technology, outsourcing, data privacy and security, intelligent systems, and intellectual property deals. Leveraging over 30 years’ experience, including over 10 years as senior in-house counsel at Fortune 100 technology and other companies, I help businesses to negotiate deals that work for their organizations, to see and address deal risks that they are trying to identify and resolve, and to create solutions to transaction obstacles that they encounter. No two clients are the same.I focus my practice on drafting, negotiating, and counseling as to a wide variety of commercial technology agreements, intellectual property contracts, and data privacy and security transactions, including IT and business process outsourcing agreements, software, cloud, and software-as-a-service and other XaaS agreements, cybersecurity and managed security services contracts, data processing agreements, business associate agreements, and other privacy and data security transactions, professional and technology services agreements, intellectual property and technology development and commercialization contracts, and patent, know-how, and copyright license and acquisition agreements.
